1. Agreement to Terms

By accessing or using Sentinell ("the Service"), operated by Saga Labs ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Saga Labs. We may update these Terms at any time. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Service Description

2.1 What Sentinell Is

Sentinell is an AI-powered marketing intelligence platform built on GAMIS (General Autonomous Marketing Intelligence System). The Service provides:

• Brains: Isolated intelligence systems dedicated to your market
• AI-Powered Research: Automated competitor and market monitoring
• Content Generation: AI-assisted content creation and recommendations
• Human Approval Workflow: All publishable content requires your approval

2.2 Brains

A "Brain" is an isolated, dedicated intelligence unit that contains your company's market context, competitor data, and strategic intelligence. Each Brain operates independently and does not share data with other Brains.

2.3 AI Processing

The Service uses Google Gemini for AI processing. AI-generated content and recommendations are provided as suggestions and require human review before any external use.

3. Pricing & Billing

3.1 Subscription Model

Sentinell operates on a subscription basis, charged per Brain per month. Current pricing is available on our website and may be updated with notice.

• Sentinell Core: Self-service platform access per Brain
• Managed Intelligence: Includes strategic oversight and human expertise (by application)

3.2 Merchant of Record

Paddle serves as our Merchant of Record for payment processing. When you subscribe, you are entering into a payment agreement with Paddle, subject to their terms of service. Paddle handles invoicing, payment processing, and tax compliance.

3.3 Billing Cycle

Subscriptions are billed monthly or annually in advance. The billing cycle begins on the date of subscription.

3.4 Cancellation

• You may cancel your subscription at any time through the platform settings
• Access continues until the end of the current billing period
• No refunds are provided for partial billing periods
• Upon cancellation, your Brain data will be retained for 30 days before permanent deletion

3.5 Price Changes

We reserve the right to modify pricing with 30 days advance notice. Existing subscribers will be notified via email before any price changes take effect.

4. User Responsibilities

4.1 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring team members with access comply with these Terms

4.2 Acceptable Use

You agree NOT to:

• Use the Service for illegal activities
• Violate intellectual property rights of others
• Attempt to reverse engineer the Service or AI systems
• Distribute malware or harmful code
• Engage in harassment, spam, or abusive behavior
• Circumvent usage limits or security measures
• Resell access without authorization
• Use automated scripts to access the Service beyond normal API usage

4.3 Content Standards

You are responsible for ensuring any content you input or generate through the Service complies with applicable laws and does not infringe on third-party rights.

5. AI Disclaimer

5.1 No Guarantee of Accuracy

While we strive for quality, AI-generated research, content, and recommendations are not guaranteed to be accurate, complete, or suitable for any particular purpose.

5.2 Human Approval Required

The Service includes approval workflows specifically because AI outputs require human verification. You must review and approve any content before publishing or acting upon it.

5.3 Your Judgment

Final decisions about marketing strategy, content publication, and business actions remain your responsibility. Sentinell provides intelligence and suggestions, not business advice.

6. Intellectual Property

6.1 Your Data

You retain all ownership rights to data you input into the Service. This includes company information, research targets, brand guidelines, and any content you create or upload.

6.2 License to Process

By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service. This includes:

• Storing and organizing your Brain data
• Processing through AI systems
• Creating vector embeddings for semantic search
• Generating recommendations and content based on your inputs

6.3 Generated Content

Content generated through the Service based on your inputs belongs to you. However, we make no warranty that generated content is unique or free from third-party IP claims.

6.4 Our Intellectual Property

Sentinell, GAMIS, our algorithms, interfaces, and documentation are proprietary to Saga Labs. You may not copy, modify, or create derivative works from our technology.

7. Limitation of Liability

7.1 Service Provided "As Is"

The Service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

7.2 Maximum Liability

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

7.3 Third-Party Services

We are not liable for issues arising from third-party services, including Paddle (payments), Google (AI processing), or any external platforms monitored by your Brain.

8. Indemnification

You agree to indemnify and hold harmless Saga Labs, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you create, publish, or distribute using the Service

9. Termination

9.1 By You

You may terminate your account at any time through the platform settings or by contacting us.

9.2 By Us

We may suspend or terminate your access if:

• You violate these Terms
• Your account is used for illegal activities
• You fail to pay subscription fees
• Required by law or court order

9.3 Effect of Termination

Upon termination, your right to access the Service ends immediately. Your data will be retained for 30 days to allow for data export, then permanently deleted.

10. Governing Law & Disputes

10.1 Governing Law

These Terms are governed by the laws of Brazil, where Saga Labs is incorporated. Any legal action must be brought in the courts of Brazil.

10.2 Dispute Resolution

Before initiating legal action, you agree to contact us and attempt to resolve disputes informally. We will work in good faith to address concerns within 30 days.

10.3 Class Action Waiver

To the extent permitted by law, disputes will be resolved on an individual basis, and you waive the right to participate in class action lawsuits.

11. Changes to Terms

We may modify these Terms at any time. Significant changes will be communicated via:

• Email notification to account holders
• Prominent notice within the Service
• Updated "Last Updated" date on this page

Continued use of the Service after changes constitutes acceptance. If you disagree with changes, you must discontinue use and cancel your subscription.

12. General Provisions

12.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Saga Labs regarding the Service.

12.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in effect.

12.3 No Waiver

Failure to enforce any right or provision does not waive our right to enforce it in the future.

12.4 Assignment

You may not assign your rights under these Terms without our consent. We may assign our rights to an affiliate or successor in the event of a merger or acquisition.
